1. B2B Scope & Eligibility
These General Terms and Conditions govern all custom manufacturing, sourcing, and supply contracts between Patel Apparel LLP(hereinafter: "Patel Apparel LLP" or "Manufacturer") and its client brands, dealers, or distributors (hereinafter: the "Partner" or "Client"). Our manufacturing services, production facilities, and B2B ordering portals are intended exclusively for commercial entities with valid business/tax registrations (such as GST or national corporate IDs). We do not manufacture for or sell to private individuals or end-consumers.
2. Order Placement & Custom Modifications
An order is considered finalized and binding only once the Client receives an official written order confirmation from Patel Apparel LLP specifying style codes, quantities, fabric GSM, print specifications, and delivery terms.
Once the order confirmation is sent, the manufacturing schedule is locked. Any subsequent change requests will require cancellation of the original order. If an order is cancelled or modified before fabric cutting has commenced, a 20% restocking and administrative fee of the total order value will be charged to cover design prep, pattern plotting, and initial yarn/fabric sourcing. Once fabric cutting, custom dyeing, or sueding has begun, the order is entirely non-cancellable and non-refundable.
3. Minimum Order Quantities (MOQs)
Unless otherwise agreed in writing, our standard Minimum Order Quantities per production run are:
- White Label (Pre-Validated Blanks): 100 units per style/colour (approx. 5-day dispatch turnaround).
- Private Label (Custom Fit & Fabric): 500 units per style (7–15 day sprint).
- OEM / High-Volume Bulk: 10,000+ units per contract run (21–30 day sprint).
We reserve the right to reject or adjust orders that do not align with our machine setup limits or fabric mill minimum configurations.
4. Custom Sampling Program
We highly recommend physical prototype sampling prior to bulk cutting. Sampling fees, pattern-making, and express courier fees are billed to the Client. Upon placement of the corresponding bulk production order, the sample cost will be fully credited against the bulk invoice as per the specific project quotation.
White Label samples utilizing pre-existing master patterns are ready in 2–3 business days. Private Label or custom-designed samples requiring custom pattern plotting and grading require 5–7 business days.
5. Zero-Credit Payment Policy
To maintain the efficiency of our 15-day manufacturing sprints and secure yarn availability in the Surat MMF cluster, we operate on a strict zero-credit model:
- 50% Advance Payment: Required to initiate custom fabric sourcing, pattern grading, and layout optimization. Sourcing begins the same afternoon the payment clears.
- 50% Balance Payment: Required in full prior to cargo dispatch or handover to the logistics partner.
All prices are quoted Ex-Works (Surat facility) and exclude shipping costs, local octroi, import customs duties, and applicable GST (currently 5% or 12% on apparel under Indian tax codes) unless explicitly itemized.
6. Manufacturing & Textile Tolerances
Apparel manufacturing involves organic processes and stretch-based synthetic fibers. The Client acknowledges and accepts the following industry-standard manufacturing tolerances:
- Sizing & Dimensions: A tolerance of ±5% or 1.5 cm (whichever is greater) is standard for all garment dimensions from the approved spec sheet.
- Fabric Weight (GSM): A tolerance of ±5% is standard for fabric weight due to moisture absorption and sueding variations.
- Color & Dye-lots: Minor color variations (shade-lot drift) are expected across separate fabric dye batches, especially under different lighting environments (D65 vs. TL84).
- Over/Under Runs: We reserve the right to deliver and invoice ±5% of the total ordered quantity to account for factory-floor sorting, fabric yield, and QC discards.
7. Retention of Title (Ownership)
Patel Apparel LLP retains full legal title, ownership, and rights to all manufactured products, materials, custom trim, and packaging until all outstanding invoices, delivery costs, interest, and tax assessments associated with the order are paid in full. The Client agrees not to pledge, sell, or transfer ownership of the goods to third parties until title has passed.
8. Transfer of Risk & Logistics
Risk of loss, damage, or degradation of the goods passes to the Client on the day the shipment is placed at the Client's disposal or handed over to the courier/transport provider. All shipments are dispatched Ex-Works (EXW) Surat or FOB JNPT (Mumbai) unless otherwise negotiated. Patel Apparel LLP is not liable for transport delays, port congestion, customs clearance blocks, or carrier losses.
9. Quality Inspection & Exclusion of Post-Decoration Claims
The Client must inspect all goods immediately upon receipt. Any claims regarding visible defects, shipping discrepancies, or quality issues must be reported to Patel Apparel LLP in writing within 28 calendar days of delivery. Claims must be accompanied by photos or video evidence.
CRITICAL CLAUSE: Under no circumstances will Patel Apparel LLP accept complaints, returns, or credit note requests for garments that have already been decorated, screen printed, sublimated, embroidered, washed, or otherwise altered by the Client or any third-party decorator. All garments must be fully checked for fabric quality, sizing, and stitching before undergoing any embellishment.
10. Late Payments & Financial Penalty
Invoices not paid by the stipulated due date are automatically subject to a late-payment interest charge of 12% per annum, calculated daily from the due date. In addition, a flat administrative collection penalty of INR 5,000 (or equivalent currency) will be added to the invoice to cover recovery overheads. Non-payment of any single invoice makes all other outstanding invoices immediately due.
11. Force Majeure
Patel Apparel LLP shall not be held liable for any failure or delay in performance resulting from events beyond our reasonable control. This includes, but is not limited to, natural disasters, floods, textile raw material/cotton crop failure, regional yarn price controls, local electricity grid failures, transport strikes, port lockdowns, wars, epidemics, or compliance with any law or governmental regulation.
12. Intellectual Property & CAD Files
The Client guarantees that all tech packs, print patterns, logos, and design specifications provided to Patel Apparel LLP do not infringe on the intellectual property of any third party. Patel Apparel LLP retains all rights to its proprietary garment construction methods, knit configurations, and CAD sizing templates unless developed under a paid, exclusive ODM contract.
13. Governing Law & Dispute Resolution
These Terms and Conditions, and all manufacturing agreements executed hereunder, are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
